Agreement to Terms

These Terms of Service govern your use of the Estuary Folio website and the services we provide. By accessing our website or engaging our services, you agree to be bound by these terms. If you disagree with any part of these terms, you should not use our website or services.

We've written these terms to be as clear as possible while still protecting both your interests and ours. They establish the foundation for our professional relationship and help prevent misunderstandings about what we can provide and what we expect from clients.

Use of Our Services

Acceptable Use Policy

Our website and services are intended for legitimate business purposes. You agree to use them in a lawful manner and not to engage in any activity that could harm our systems, other users, or our reputation.

This includes not attempting to gain unauthorized access to our systems, not transmitting malicious code or content, and not using our services to violate any applicable laws or regulations.

Permitted Uses

You may use our website to learn about our services, contact us with inquiries, and access resources we've made available. Once you become a client, you may use our services to manage your accounting and bookkeeping needs as outlined in your service agreement.

Our services are designed for businesses and professionals seeking financial management support. They are not intended for personal use or for purposes outside the scope of professional accounting and bookkeeping.

Prohibited Activities

You may not use our services to facilitate illegal activities, money laundering, tax evasion, or any form of fraud. You may not misrepresent your identity or business when engaging with us. You may not attempt to reverse engineer, decompile, or extract source code from any software we use. You may not use automated systems to access our website excessively or in ways that create an unreasonable burden on our infrastructure.

Service Access Requirements

To use our services effectively, you'll need a reliable internet connection and a device capable of accessing our online platforms. You're responsible for maintaining the security of any login credentials we provide and for all activities that occur under your account.

Fair Usage Guidelines

We expect clients to use our services reasonably and in good faith. This means providing accurate information, responding to requests for documentation in a timely manner, and respecting our team's time and expertise. Excessive demands or unreasonable behavior may result in service termination.

Account Management

Account Creation

When you engage our services, we'll establish an account for your business. You'll need to provide accurate information about your company, authorized contacts, and billing details. Providing false or misleading information is grounds for immediate service termination.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. If you believe your account has been compromised, notify us immediately. We're not liable for any losses resulting from unauthorized use of your account if you failed to maintain reasonable security measures.

Choose strong passwords, don't share login credentials with unauthorized individuals, and log out of our platforms when using shared devices.

Account Suspension and Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or fail to meet payment obligations. We'll typically provide notice before termination unless immediate action is necessary to protect our interests or comply with legal requirements.

Either party may terminate the service relationship with appropriate notice as specified in the service agreement. Upon termination, you'll receive any work product completed to that point and we'll return or securely destroy your confidential information as requested.

Multiple Account Policy

Each business entity should maintain a single account. Creating multiple accounts to circumvent restrictions, abuse our services, or evade payment obligations is prohibited and may result in termination of all associated accounts.

Service Availability and Modifications

Service Uptime

While we strive to maintain continuous service availability, we cannot guarantee uninterrupted access to our website or online platforms. Occasional downtime may occur for maintenance, updates, or due to circumstances beyond our control. We'll make reasonable efforts to minimize disruptions and provide advance notice when possible.

Maintenance and Updates

We perform regular maintenance to ensure our systems remain secure and efficient. This may temporarily affect service availability. We typically schedule maintenance during off-peak hours and will notify clients of planned downtime that might affect their access to important information.

Feature Availability

The specific features and services available may vary based on your service package. We describe available features in our service agreements and on our website. Not all features may be available to all clients or in all geographic locations.

Service Modifications

We may modify, suspend, or discontinue any aspect of our services at any time. We'll provide reasonable notice of significant changes that materially affect your use of our services. Continued use of our services after such changes constitutes acceptance of the modifications.

We're constantly working to improve our services and may add new features, update existing ones, or retire features that no longer serve our clients well. These improvements benefit our client base as a whole.

Geographic Restrictions

Our services are primarily available to businesses operating within the European Union. We may decline to provide services to entities in certain jurisdictions due to legal or regulatory constraints. Contact us to confirm whether we can serve your location.

Intellectual Property Rights

Our Content Ownership

All content on our website, including text, graphics, logos, images, and software, is owned by Estuary Folio or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and use this content for personal, non-commercial purposes only.

Your Content Rights

When you provide documents, data, or other materials to us as part of our services, you retain ownership of that content. By sharing this information with us, you grant us a limited license to use it solely for the purpose of providing our services to you.

We will not use your confidential business information for any purpose other than delivering the services you've engaged us to provide, except as required by law.

License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your business purposes during the term of your service agreement. This license does not include the right to resell or redistribute our services or to use them for the benefit of third parties.

Trademarks

Estuary Folio and our logo are trademarks. You may not use these marks without our prior written permission. Other product and company names mentioned on our website may be trademarks of their respective owners.

Payment and Billing

Service fees are outlined in your individual service agreement. Payment is typically due within 14 days of invoice date unless otherwise specified. We accept payment via bank transfer and other methods as agreed upon in your service contract.

Late payments may incur interest charges at the rate permitted by applicable law. Persistent non-payment may result in service suspension or termination. We'll work with clients experiencing temporary financial difficulties, but we expect good faith communication about payment challenges.

All fees are quoted in euros and exclude applicable taxes unless otherwise stated. You're responsible for any taxes, duties, or fees imposed by your jurisdiction in connection with our services.

Termination and Consequences

Either party may terminate the service relationship by providing written notice as specified in your service agreement, typically 30 days. We may terminate immediately for material breach of these terms, non-payment, or illegal use of our services.

Upon termination, you remain responsible for all fees incurred up to the termination date. We'll provide copies of your financial records and work product completed through the termination date. After a reasonable transition period, we'll securely destroy confidential information unless required by law to retain it.
